Semble Connect Terms of Service

IMPORTANT: 

BY USING SEMBLE CONNECT FEATURES AS PART OF SEMBLE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU SHOULD NOT USE THE SERVICES.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY, AS THEY CONTAIN LEGAL OBLIGATIONS AND IMPORTANT TERMS WHICH WE WILL RELY UPON.

 

AGREED TERMS: 

1. DEFINITIONS AND INTERPRETATION

1.1 Capitalised terms have the meanings given in the Semble Terms of Service, unless otherwise specified.
1.2 “Semble Connect” means any workflows, recipes and custom connectors developed, via a third-party automation engine approved by Semble or otherwise, as part of Semble’s system to allow for integrations between Semble and other third-party systems.

 

2.  Provision of Semble Connect

2.1 Semble shall make available to the Client the Semble Connect tools to allow Client to develop connectors to the Semble Website. Use of Semble Connect is subject to these terms, which form part of the Semble Terms of Service / the Client’s Agreement with Semble.
2.2 Semble Connect is only available for connections made between the Semble platform and external systems; not for connections between separate systems outside of Semble. A Semble connector must be triggered at least once per recipe/automation.
2.3 Semble is responsible for maintaining the Semble API connector. The Client is responsible for maintaining the functionality of its own automations and recipes. The Client is responsible for its use of Semble Connect and agrees to use all reasonable endeavours not to use it in any way which could cause damage to the Semble Website. Semble shall not take any liability for the Client's use or misuse of Semble Connect.
2.4 Any integration provided by Semble does not imply the existence of any commercial relationship in the provision of services of third- party providers.
2.5 Features available on Semble Connect vary according to the Client’s Semble plan.

 

3. Intellectual Property

3.1 The Intellectual Property Rights in any connectors, recipes or automations (the “Connectors”) created or customised in Semble Connect by the Client or by Semble shall be the exclusive property of Semble and Semble retains the exclusive right to re-use and publish these Connectors within the Semble Website. Semble shall grant to the Client the right to use the Connectors for the duration of the agreement.

 

4. Task Limits

4.1 Semble may monitor task volume. The Client is subject to a task volume limit based on their Semble Connect plan or as otherwise indicated in the Client’s Agreement / Order Form. Tasks above the agreed volume limit are permissible on a fair usage basis and may be subject to additional charge by mutual agreement.

 

5. Technical Solution Services

5.1 From time to time as agreed in writing, including in the Client’s Agreement / Order Form or a separate statement of work, Semble may provide at additional cost certain professional services to enhance the Client’s use of Semble Connect (the “Technical Solutions Services”). Technical Solution Services may include for example fixing or optimising Client automations, building custom Connectors and other services as agreed.
5.2 The Technical Solutions Services are an Additional Service as defined in the Terms of Service.
